WavRead — End User Licence Agreement

This agreement is between you and Erik Mann (EZmannBuilds) ("we", "us"), the

owner of WavRead. By installing or using WavRead, you agree to it. If you do

not agree, do not install or use WavRead.

This is a plain-language agreement. It is written to be read.

1. What you get

When you obtain a licence for WavRead, we grant you a personal,

non-exclusive, non-transferable licence to install and use WavRead on

computers you own or control, for as long as you comply with this agreement.

A purchased licence covers all updates within the same major version. A future

major version may be a separate purchase.

While WavRead is offered as a free beta, the same terms apply, and the licence

lasts for as long as that beta is made available.

2. What you may not do

You may not:

• sell, rent, sublicense, or redistribute WavRead;
• copy it except for backup and normal installation;
• reverse engineer, decompile, or disassemble it, except where that right

cannot lawfully be excluded, or as permitted by the licences of third-party

components it includes;

• remove or obscure any copyright, licence, or attribution notice;
• use it to build a competing product.

3. Your music and your results stay yours

**We claim no rights in your audio, your analyses, or the documents WavRead

produces.** They are yours, including for commercial use. Nothing in this

agreement gives us any interest in your work.

4. Your files stay on your computer

WavRead analyses audio locally on your machine. It does not upload your audio,

create an account, or collect analytics or telemetry.

The one exception is a one-time download of the speech model used for lyric

transcription, fetched from its publisher's public repository when you first

use that feature. That request contains nothing about you or your music, and

every other feature works without a network connection.

If you configure an external separation tool, that tool is not part of WavRead

and behaves according to its own terms.

5. Third-party components

WavRead includes third-party software under its own licences, listed in the

THIRD_PARTY_LICENSES file supplied with the application. Those licences

govern those components and take precedence over this agreement for them.

WavRead does not include any audio separation model. If you supply stems or

configure your own separation tool, it is your responsibility to hold whatever

rights that tool and its models require.

6. What we don't promise

WavRead's measurements are produced by software and are provided as is.

Values labelled *estimated* — including key, chords, lyrics, and melody — are

inferences and may be wrong. Suggestions are analysis output, not professional

advice, and decisions about your music remain yours.

To the fullest extent permitted by law, WavRead is provided without warranties

of any kind, express or implied, including merchantability, fitness for a

particular purpose, and non-infringement.

7. Limits on liability

To the fullest extent permitted by law, we are not liable for indirect,

incidental, special, or consequential damages, or for lost profits, lost data,

or lost work, arising from your use of WavRead.

Our total liability under this agreement will not exceed the amount you paid

for WavRead in the twelve months before the claim, or, where you paid nothing,

zero.

Nothing here excludes liability that cannot lawfully be excluded, including for

death or personal injury caused by negligence, or for fraud. Some jurisdictions

do not allow certain exclusions, so parts of this section may not apply to you,

and you may have rights under consumer law that this agreement does not affect.

8. Refunds

If you paid for WavRead and it does not work for you, contact us within 30 days

of purchase and we will refund it. Statutory refund rights, where they apply,

are in addition to this and are not limited by it.

9. Ending this licence

This licence ends if you materially breach it and do not correct the breach

within 30 days of being notified. You may end it at any time by uninstalling

WavRead. Sections 3, 6, 7, and 10 survive.

10. General

This agreement is the entire agreement about WavRead between you and us. If a

provision is unenforceable, the rest remains in force. Failing to enforce a

provision is not a waiver of it. We may update this agreement for future

versions; the version supplied with the release you install governs that

release.
